TERMS AND CONDITIONS OF USE
Access to the RWQuikQuote Web Site (the "Site") is limited to authorized Richards-Wilcox Dealers ("Dealers") and their employees, and is a service provided by Richards-Wilcox to Dealers in consideration for the user's agreement to hold in strict confidence all of Richards-Wilcox's confidential and proprietary information appearing on the Site, including, but not limited to, information relating to marketing, sales, service distribution, pricing, costs, suppliers, business methods, product specifications and formulas, manufacturing techniques and processes, engineering and product development (the "Confidential Information").
By accessing the Site, the user represents that he is an authorized employee of a Dealer authorized to access the Site, and agrees, on his or her own behalf, and on behalf of the Dealer: (1) to hold in strict confidence all Confidential Information obtained on the Site and use best efforts and take all reasonably necessary precautions to prevent disclosure of same to persons outside of Dealer's organization; (2) that in the event of a violation of this agreement, Richards-Wilcox will have the right to injunctive relief prohibiting any further violation and (3) to reimburse Richards-Wilcox for all costs, expenses or damages, including reasonable attorney's fees, that it incurs as a result of any violation of this agreement.
Furthermore, by accessing the Site, the user understands and acknowledges that links to other web sites may be active within and does not hold liable for any loss or damages related to the content, products or services available through those sites. The user also acknowledges and understands that Richards-Wilcox reserves the right to change these Terms of Service (“TOS”) at anytime, without notice. The user acknowledges and understands that it is their responsibility to read the TOS each time before logging into the RWQuikQuote system to stay current with the rules and regulations for using the system.
This agreement shall become effective and binding immediately upon the user accessing the Site, without the requirement of a written confidentiality agreement, but a written confidentiality agreement will be signed by user or Dealer should Richards-Wilcox so request.
